# Pay with Earnings Program Agreement

### Introduction

Palmstreet offers the **Pay with Earnings Program** (the "Program") to eligible sellers, allowing them to use Pay with Earnings funds for specific business activities, such as purchasing shipping labels, processing refunds, and updating their selling plans. By enrolling in the Program, sellers agree to the terms and conditions outlined in this Agreement.

### Enrollment and Participation

#### Eligibility

* Sellers must have an active Palmstreet account in good standing.
* Enrollment is subject to Palmstreet's review and approval based on transaction history, performance metrics, and available pending balance.

#### Enrollment Process

* Sellers may opt into the Program through designated prompts on the Palmstreet platform.
* By enrolling, sellers authorize Palmstreet to use their designated (default) backup payment method to cover any outstanding charges as necessary.
* Sellers must maintain at least one valid payment method on file to participate in the Program.

### Pay with Earnings Usage

Enrolled sellers can only use Pay with Earnings funds for:

* Purchasing shipping labels if their balance is insufficient;
* Processing refunds if their balance is insufficient;
* Updating their selling plan (subject to implementation).

### Backup Payment Obligations

#### Backup Payment Process

* When sellers reach their maximum Pay with Earnings limit and attempt a new transaction, Palmstreet will attempt to charge their designated payment method for the outstanding amount.
* If a Pay with Earnings balance remains unpaid, future earnings from sales may be automatically applied toward backup payment.

#### Failed Backup Payment Attempts

* If a backup payment attempt fails, the seller must update their payment method and complete the backup payment before making additional transactions.
* Sellers may be restricted from accessing further Pay with Earnings funds until outstanding backup payments are settled.

### Amendments and Termination

* Palmstreet reserves the right to modify or terminate the Program at any time.
* Sellers will be notified of any significant changes to the terms of this Agreement.
* Continued participation in the Program after modifications constitutes acceptance of the revised terms.

### Agreement Acceptance

By enrolling in the **Pay with Earnings Program**, the seller acknowledges and agrees to the terms outlined in this Agreement. Failure to comply with these terms may result in suspension or termination of access to the Program.
